1. Introduction

Welcome to High Cloud LLC! These Terms of Service ("Terms") govern your use of the High Cloud Insights ("High Cloud") Chrome extension ("Extension"), designed to work with METRC’s website ("METRC"). By installing or using the Extension, you agree to these Terms, as well as the terms of METRC and Google Chrome Web Store ("Chrome Store"). If you do not agree, do not install or use the Extension. Your access to and use of the Service is also conditioned on Your acceptance of and compliance with our Privacy Policy, which outlines our policies on the collection, use, and disclosure of Your personal information.

The High Cloud Referral Partners Program (“Program”), is offered by High Cloud LLC (“High Cloud,” “we,” “us,” or “our”). These terms govern your participation in the Program. By applying for or participating in the Program, you agree to these Terms as part of our overall Terms of Service. If you do not agree, do not participate in the Program.

2. Use of the Extension & METRC

High Cloud Insights provides tools for tracking cannabis via METRC. You agree to use the Extension solely for lawful purposes and in accordance with these Terms, METRC's terms, and Chrome Store’s policies. You must comply with all applicable laws and regulations, including those related to cannabis tracking and tracing, METRC's specific rules, and Chrome’s extension guidelines.

The High Cloud Insights Extension interacts with METRC data to enhance reporting and operational insights. By using the Service, You agree to comply with all applicable METRC regulations and ensure that Your use of METRC data aligns with state laws governing cannabis tracking and reporting. We are not responsible for Your compliance with METRC regulations.

To use the Extension, you may need to have a valid METRC account. You are responsible for maintaining the confidentiality of your METRC account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.

3. Subscriptions

The Service, or certain features of the Service, is available only with a paid Subscription. You will be billed in advance on a recurring and periodic basis (such as monthly or annually), depending on the type of Subscription plan You select when purchasing a Subscription. At the end of each period, Your Subscription will automatically renew under the same terms unless You cancel it or We cancel it.

You may cancel Your Subscription renewal either through Your Account settings or by contacting Us. Cancellations will take effect at the end of the current billing period. No refunds will be provided for the already-paid Subscription period, but You will retain access until the end of the period.

4. Billing

You shall provide Us with accurate and complete billing information, including full name, address, state, zip code, and valid payment method information. If automatic billing fails, We will issue an electronic invoice, and You must complete payment manually.

We may modify Subscription fees at Our discretion. Fee changes will take effect at the end of the then-current billing period, with prior notice to You, giving You the option to cancel before the new fees are applied.

We may, at Our sole discretion, offer a Free Trial Subscription or Discounted Trial Subscritpion for a limited period. You may need to enter billing information when signing up for the Free Trial, but You will not be charged until the trial period expires. After the trial, You will automatically be billed unless You cancel before the end of the trial period.

5. Intellectual Property

The Service, including the High Cloud Insights Extension and all associated materials, features, and content, is the exclusive property of High Cloud LLC and its licensors. You are granted a limited license to use the Service under these Terms but may not reproduce, modify, or redistribute any aspect of the Service without prior written consent. We reserve the right to modify or replace these Terms at any time. If changes are significant, We will provide at least 30 days' notice. By continuing to use the Service after changes become effective, You agree to be bound by the revised Terms.

6. Data Collection & Privacy

We may collect and use certain data as described in our Privacy Policy. By using the Extension, you consent to the collection and use of your data in accordance with the Privacy Policy. You acknowledge that METRC may also collect and process data independently of the Extension and that we are not responsible for METRC’s data practices.

7. Feedback

You assign all rights, title, and interest in any Feedback You provide to Us. If this assignment is ineffective, You grant Us a perpetual, royalty-free license to use the Feedback.

8. Limitation of Liability

To the maximum extent permitted by law, High Cloud LLC is not liable for indirect, incidental, or consequential damages resulting from the use or inability to use the Service. Our liability is limited to the amount paid by You for the Service.

9. Disclaimers

The Extension is provided "as is" and "as available," without warranties of any kind. We do not guarantee the accuracy, reliability, or availability of the Extension or METRC’s services. We disclaim all warranties, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the state of Nevada, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms or your use of the Extension will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in Nevada, and the decision of the arbitrator will be final and binding.

12. Referral Partner Program

You agree to:

12.1 Program Overview The Program allows approved partners (“Referral Partners,” “you,” or “your”) to earn commissions for referring new paying customers to High Cloud Insights (“Service”), our Chrome extension designed to work with the METRC platform. When you share your unique referral code or link and a referred customer signs up and becomes a paying subscriber, you earn a recurring commission as described below.

12.2 Eligibility
-You must be at least 21 years old to participate.
-You must have a valid PayPal or Zelle account to receive payments.
-We reserve the right to approve, deny, or revoke participation at our discretion.

12.3 Commissions
You will earn 15% recurring commission for up to 12 months for each referred company that signs up using your unique referral code or link and remains a paying subscriber.
Referred customers will receive 10% off their subscription for their first three months.
Commissions are calculated on subscription fees actually received by us, excluding refunds, chargebacks, taxes, or discounts.
Commissions stop if the customer cancels their subscription or after 12 months from their start date, whichever comes first.

12.4 Payment
Commissions are paid monthly via PayPal or Zelle within 30 days after the end of the month in which payment is received from the referred customer.
Minimum payout threshold is $50; unpaid balances roll over to the next month.
You are responsible for ensuring your payment details are accurate and current.

12.5 Tracking & Attribution
Referrals must sign up through your unique referral link or use your referral code at checkout to be eligible.
We are not responsible for tracking failures caused by ad blockers, disabled cookies, or incorrect code usage.
Self-referrals are prohibited and may result in termination from the Program.

12.6 Partner Conduct You agree to:
-Represent High Cloud Insights honestly and accurately.
-Avoid false, misleading, or unsubstantiated claims about our services.
-Comply with all applicable laws, including cannabis-related advertising restrictions.
-Avoid spam, unsolicited messages, or illegal advertising methods when promoting your referral code.
You may not:
-Misrepresent your relationship with High Cloud.
-Promote your referral code in a way that could harm our reputation.
-Engage in fraudulent activity to generate referrals.

12.7 Program Changes & Termination
We reserve the right to modify, suspend, or terminate the Program at any time.
We may change commission rates, payment terms, or eligibility requirements with notice.
We may remove you from the Program immediately for violating these Terms or engaging in conduct detrimental to our brand.

12.8 Limitation of Liability To the fullest extent permitted by law, High Cloud LLC will not be liable for indirect, incidental, or consequential damages arising from your participation in the Program. Our maximum liability will not exceed the total commissions paid to you in the six months prior to any claim.

13. User Agreement

You agree to:

▸ Use the Extension only for lawful purposes and in accordance with applicable laws and regulations, including those related to cannabis tracking and tracing.
▸ Maintain the confidentiality of your METRC account credentials and promptly notify us of any unauthorized use of your account.
▸ Provide accurate, current, and complete information as required for the Extension to function properly.
▸ Ensure that all information provided in connection with the Extension is true and accurate.
▸ Use the Extension in any manner that could disrupt or interfere with METRC’s services or violate METRC’s terms of service.
▸ Copy, modify, distribute, or create derivative works based on the Extension.
▸ Attempt to gain unauthorized access to METRC’s systems or data through the Extension.
▸ Use the Extension for any illegal activities or for purposes that are not in compliance with applicable laws and regulations.
